Independent Contractor Terms and Conditions for Photo Services


Introduction

1.1 These terms and conditions (the "Terms") govern the relationship between Pink Knock Inc. (the "Company") and the independent contractor ("Vendor") who will provide photo services to the Company's clients.


Services

2.1 The Vendor shall provide the following services to the Company: photo services for events and other occasions as specified in the contract between the Vendor and the Company.


2.2 The Vendor shall ensure that all services are performed in a professional and competent manner, in accordance with industry standards and best practices.


Equipment and Materials

3.1 The Vendor will be responsible for providing their own equipment and materials necessary to perform the services, in accordance with Canadian federal laws on equipment and materials for independent contractors.


Payments

4.1 The Vendor payments for services rendered will be processed within 5 business days.


4.2 The Vendor shall receive 10% of the total contract amount upon the client booking through Pink Knock Inc. platforms.


4.3 The Vendor shall receive 35% of the total contract amount on the day of the event once Pink Knock receives confirmation from the client at the start of the event.


4.4 The Vendor shall receive the final 40% of the total contract amount once all the work is completed and verified by the Company's client.


4.5 The Vendor shall be responsible for keeping accurate records of all services provided and payments received.


Termination

5.1 The Company may terminate this contract at any time, without cause, by giving written notice to the Vendor.


5.2 The Vendor may terminate this contract at any time, without cause, by giving written notice to the Company.


Compliance with Laws

6.1 The Vendor shall comply with all applicable federal and provincial laws in Canada and shall obtain and maintain any necessary licenses and permits required to perform the services.


Independent Contractor Status

7.1 The Vendor is an independent contractor and not an employee of the Company. The Vendor shall be solely responsible for paying all taxes and other contributions required by law in connection with the services provided under this contract.


Governing Law

8.1 This contract shall be governed by and construed in accordance with the laws of Canada.


Entire Agreement

9.1 This contract constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and negotiations, whether oral or written, relating to the subject matter of this contract.


Amendment

10.1 This contract may not be amended except in writing signed by both parties.


Notices

11.1 Any notice required or permitted under this contract shall be given in writing and delivered personally, by commercial overnight delivery service, or by certified or registered mail, postage prepaid, return receipt requested.


Severability

12.1 If any provision of this contract is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.


Waiver

13.1 The failure of either party to enforce any provision of this contract shall not be deemed a waiver of future enforcement of that or any other provision.


Relationship of the Parties

14.1 Nothing in this contract shall be deemed to create a partnership, joint venture, agency, or employment relationship between the parties.


Assignment

15.1 The Vendor shall not assign this contract without the prior written consent of the Company.


Survival

16.1 The provisions of this contract which by their nature should survive termination shall survive termination, including, but not limited to, ownership provisions.
